The Management Board of mBank S.A. informs that on 31 March 2014 the XXVII Annual General Meeting of mBank S.A. appointed the following persons to the Supervisory Board of mBank S.A. for the joint term of three years, composed of 12 members: Maciej Leśny In 1969, he graduated from the Economics Faculty of the University of Warsaw. In his professional career, he worked for 6 years in the shipbuilding industry in Gdańsk, 8 years for Zakłady Elektronicznej Techniki Obliczeniowej. He worked in public administration for 22 years, including 8 years in the position of the Undersecretary of State at the Ministry for Economic Cooperation with Foreign Countries, in the Ministry of Economy, Labour and Social Policy, and then in the Ministry of Infrastructure. He completed post-graduate studies and training at universities in the USA: The Michigan University (Business School of Administration) and De Paul University (Chicago). In 1992-1993 as a scholarship holder of the government of the USA he studied at the American University in Washington, DC. During his scholarship, he had a four-month training at the World Bank and completed privatization training at the International Monetary Fund. Chairman of the Bank’s Supervisory Board from March 1994 to 1998. Then until December 2001 he served as the Supervisory Board Member. He was re-elected the Chairman of the Supervisory Board in 2004. Martin Zielke In 1985-1990 studied at the University in Göttingen, and in 1990 obtained a M.A. in economy (Diplom-Kaufmann). In 1983-1985 he worked at Deutsche Bank AG in the Kassel Branch. In 1990-2000 he cooperated with Dresdner Bank AG in Frankfurt am Main. From 1990 to 1995 he managed the subproject of strategy concerning retail clients, and in 1997 he became the Executive Manager of the Project concerning positioning new markets. In 1997-1999 he was the Regional Director for retail banking, the Northern Region. From 1999 to 2000 he managed the project concerning retail banking - he acted as the Regional Director for business development. Then, in May 2001 he served as the Regional Director for portfolio investments of the Member of the group of operative management at Deutsche Bank 24. In the period of June-December 2001 - he served as Regional Director for Financing the Retail Banking Deutsche Hyp, Frankfurt an Main. From January 2002 to December 2004 he served as the Group’s Manager in the area of Retail Banking of Commerzbank AG, Frankfurt am Main. From January 2005 to March 2006 he was the Group’s Manager in the area of Corporate Banking, Commerzbank AG. From April 2006 to December 2007 he served as the Management Board Member at EurohypoAktiengesellschaft, Eschborn. February 2008 to November 2010 - Group’s Manager in the Group’s Finance Division, Commerzbank AG, Frankfurt am Main. Since November 2010 he has been the member of the Board of Managing Directors (Management Board) of Commerzbank AG responsible for Individual Clients Segment. Member of the Boards of: Comdirect Bank AG, Commerz Real AG and Commerz Real Investmentgesellschaft mbH. Martin Blessing studied Management (Business Administration) in Frankfurt and St. Gallen. In 1988 he obtained an MBA at University of Chicago. In 1989-1996 he worked at McKinsey in Frankfurt am Main and in New York. In 1994 he became the partner. In 1997 he started work at Dresdner Bank AG, where he served as the manager in Private Clients Department. In 2000-2001 he served as the Chairman of the Board in AdvanceBank AG in Munich. In 2001 Martin Blessing was appointed the member of Management Board of Commerzbank AG and in 2008, he was appointed the President of the Management Board. Stephan Engels Graduate of the University of St. Gallen in Switzerland. In 1988-1993 he worked in Audit Department of Daimler-Benz AG. Over the next 3 years he managed the Regional Controlling (Europa) wdebis AG. From 1996 to 2000 he served as the Finance Director at debisAirFinance B.V. In 2000 he joined Daimler Chrysler Bank AG, where he served as the Management Board member responsible for credit operations, and then the Finance and IT Director. Since 2003 he worked at DaimlerChrysler Services AG as a Management Board member responsible for finance, controlling, risk management and strategy. In 2007-2012 - member of the Executive Committee of Mercedes-Benz Cars Group responsible for finance and controlling, and the Director of Corporate Controlling at Daimler AG. Since 1 April 2012 - Management Board Member at Commerzbank. Andre Carls After graduating from Economy and obtaining a Ph.D. at the University of Cologne, thanks to the international training program, he started his work at Commerzbank in 1990.Next, he served in various positions in the areas of Corporate Finance and Capital Markets in Frankfurt. Then he served as the executive director in the Investment Banking Division at Commerzbank in London.In 2000-2008 the Management Board Member of comdirect bank AG, where from September 2002 to November 2004 he served as the Finance Director, and from November 2004 to March 2008 he was the President of the Management Board. Between March-September 2008 he served as the Management Board Member responsible for Finance and the Vice-President of the Management Board of BRE Bank SA. From March 2008 to December 2013 Mr Carls, Ph.D., served as the President of the Management Board at CommerzbankAuslandsbanken Holding AG in Frankfurt and the President of the Management Board at Central &Eastern Europe-Holding of Commerzbank AG. Thorsten Kanzler studied mechanical engineering and economy at the Technical University in Darmstadt (Germany), and obtained the Diplom-Wirtschaftsingenieur (M.Sc.).From 1991 to 2004 he worked at Deutsche Bank AG in various positions in the area of treasury and risk management in Frankfurt, New York, Sydney and London.In 2004-2007 - the Group’s Treasury Director and the Management Board Member for Corporate and Investment Banking at WestLB AG in Düsseldorf. From May 2007 he served as the Director for Capital and Treasury Management of the DresdnerBank AG Group in Frankfurt am Main. From the beginning of 2009 the Management Board Member for Treasury in the Division of the Commerzbank AG Group. He is responsible for assets and liabilities management, risk management, capital management and financing on the capital markets. Teresa Mokrysz The graduate of the University of Economy in Katowice (1978). In 1990 she created the “Mokate” brand name, one of the most recognizable Polish brands in the world. She changed a small family-owned company into the international Group of companies. As the co-owner, she is in charge of eight Mokate enterprises with their registered offices in Poland and in Central Europe. She developed the plants in Żory and Ustroń from scratch and expanded the plant near Prague (production of coffee, tea and semi-finished products for food industry). She marketed the company’s products on the markets of almost 70 countries on all continents. Teresa Mokrysz obtained, among others, the tile of “Leader of the decade” awarded by Gazeta Wyborcza and the “Success of the decade” awarded by Businessman Magazine. In 2000 the International Foundation for Women’s Entrepreneurial Spirit from Los Angeles awarded her the title of the "the most entrepreneurial woman of the world". She founded, among other things, scholarships for talented and impoverished youth, financially supported health care institutions, nursing homes, orphanages and schools. Stefan Schmittmann Born in 1956, he graduated from business administration, obtained a Ph.D. in economy at the University of St. Gallen in Switzerland. In 1986-2003 he worked at Bayerische VereinsbankAG, from 1998 at Bayerische Hypo-undVereinsbank AG. In 2004-2005 he served as the President
