The Management Board of mBank S.A. (the "Bank") announces that within the past 12 months the Bank concluded a few credit agreements with the European Investment Bank ("EIB") totaling PLN 1,254,370,000.

First agreement

Credit agreement worth EUR 100 million loan (in words: one hundred million euro) (PLN 418,470,000 at the fixing rate of the National Bank of Poland as of 20 November 2013) to finance investment projects of small and medium-sized enterprises. The loan was granted for 8 years; interest on the loan is Euribor plus margin.

The agreement lays down standard conditions precedent to the Bank's drawdown of the subsequent tranches. The conditions precedent were met. The agreement provides for no contractual penalties.

Second agreement

Credit agreement worth EUR 100 million loan (in words: one hundred million euro) (PLN 421,710,000 at the fixing rate of the National Bank of Poland as of 11 March 2014) to finance local governments. The loan was granted for 12 years; interest on the loan is Euribor plus margin.

The agreement lays down standard conditions precedent to the Bank's drawdown of the subsequent tranches. The conditions precedent were met. The agreement provides for no contractual penalties.

Third agreement

Credit agreement worth EUR 100 million loan (in words: one hundred million euro) (PLN 414,190,000 at the fixing rate of the National Bank of Poland as of 11 July 2014) to finance investment projects of small and medium-sized enterprises. The loan was granted for 8 years; interest on the loan is Euribor plus margin. The agreement lays down standard conditions precedent to the Bank's drawdown of the subsequent tranches. The agreement provides for no contractual penalties.

The total value of the aforesaid credit agreements exceeds 10% of the Bank's equity."
