The Management Board of mBank S.A., with its registered office in Warsaw ("Bank") announces that on 13 October 2014 mBank S.A. received a message from the Operating Department of the National Depository for Securities (KDPW) informing about registration on 14 October 2014 2,655 ordinary bearer shares of the Bank with the nominal value of PLN 4 each.

The aforementioned shares have been issued pursuant to Resolution No. 3 of the 16th Extraordinary General Meeting of the Bank of 27 October 2008 on issuing bonds with the pre-emptive right to take up shares of mBank S.A., and on the conditional increase of the share capital through issue of shares with exclusion of the subscription right of the existing shareholders with a view to enable persons participating in the incentive programme to take up the shares of mBank S.A. , and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares.

Resolution No. 838/14 of the management board of KDPW dated 30 September 2014 forms a basis for registration of the aforesaid shares.

All the new issue shares will be registered under the following code: PLBRE0000012. Following the registration, the total number of the Bank's shares registered in KDPW under the code PLBRE0000012 will be 42,192,557.
