The Management Board of mBank S.A. (the "Bank") announces that since 13 June 2014 the Bank has concluded several agreements with one of its clients, being the Bank's subsidiary ("Subsidiary"), totalling PLN 2,161,531,780.

Of the aforesaid agreements, a loan agreement of 28 January 2015 worth EUR 115,000,000 (PLN 487,002,000 according to the NBP exchange rate as at the date of signing the agreement) to be repaid by 27 January 2015, had the highest value.

The loan was granted for financing lease obligations and refinancing the existing credit obligations.

The loan interest is based on EURIBOR increased by the Bank's margin.

The agreement includes conditions precedent typical of such agreements, which were satisfied at the moment of concluding the agreement.

The agreement includes conditions subsequent typical of such agreements.

The total value of the aforementioned agreements exceeds 10% of the Bank's equity.

Article 78(3) of the Regulation of the Minister of Finance dated 19 February 2009 on current and periodical information provided by issuers of securities and the conditions for considering to be equivalent information required by regulations of the country not being a member state.
