With reference to the current report No. 84/2014 of 12 September 2014, concerning the Agreement on the sale of shares of BRE Ubezpieczenia Towarzystwo Ubezpieczeń i Reasekuracji S.A. registered in Warsaw ("BRE TUiR") to Avanssur société anonyme registered in Suresnes, France ("Avanssur") (entity of AXA Group), the Management Board of mBank S.A. ("Bank") hereby announces that with the fulfilment of conditions precedent, on 27 march 2015 Aspiro S.A. (subsidiary of the Bank) sold 100% of shares of BRE TUiR i.e. 15.741.177 shares authorising to exercise 15,741,177 of votes on the general meeting of BRE TUiR, making up 100% of the total number of votes at BRE TUiR's general meeting ("Share Sale Agreement").

At the same time, the Bank signed a distribution agreement with AXA Życie Towarzystwo Ubezpieczeń S.A. ("AXA Życie"). The agreement is regulating the long-term cooperation between the Bank and AXA Życie with regard to the distribution of life insurance products.

In the subsequent reports the Bank will inform about signing further agreements with AXA Group and the final, total remuneration.
