The Management Board of mBank S.A. ("Bank") hereby announces that from 11 September 2014 to 30 March 2015 the Bank concluded several agreements with one of its clients, the Bank's subsidiary ("Subsidiary") totalling PLN 1,683,560,875.15.

The agreement of the greatest value was a bilateral loan agreement concluded on 30 March 2015 worth PLN 1,068,000,000.

The interest rate of the loan is based on WIBOR/EURIBOR (depending on the currency of a given tranche) increased by the Bank's margin.

The agreement provides neither for contractual penalties nor conditions precedent or subsequent.

The total value of the aforementioned agreements exceeds 10% of the Bank's equity.

Article 78(3) of the Regulation of the Minister of Finance dated 19 February 2009 on current and periodical information provided by issuers of securities and the conditions for considering to be equivalent information required by regulations of the country not being a member state.
