With reference to Current Report no. 9/2015 dated 2 March 2015, be notified that on 21 April 2015 the Management Board of mBank S.A. (the "Bank") adopted a resolution on changing its recommendation on the distribution of profit made by the Bank in 2014.

The Management Board recommends that the net profit of PLN 1,174,096,218.00 made in 2014 be distributed as follows:

1. the amount of PLN 50,000,000.00 – to the general risk fund of the Bank; 2. the amount of PLN 406,523,549.00 – to the supplementary capital of the Bank.

The Management Board recommends that the remaining part of the profit, amounting to PLN 717,572,669.00, be unappropriated.

The aforesaid motion of the Management Board of the Bank was forwarded to the Supervisory Board of the Bank for evaluation.
