The Management Board of mBank S.A. (the "Bank") announces that from 15 September 2015 to 4 March 2016 the Bank concluded several agreements with one of its clients being a subsidiary of the Bank (the "Subsidiary") worth a total of PLN 1,372,728,445.15.

The agreement of the highest value was a credit agreement concluded on 18 December 2015 worth PLN 500,000,000.

The interest on the loan is based on WIBOR/EURIBOR (depending on the currency of a given tranche) increased by the Bank's margin.

The agreement provides for no contractual penalties or conditions precedent or subsequent.

The total value of the aforementioned agreements exceeds 10% of the Bank's equity.

Additional legal basis:

Article 78(3) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and on conditions for recognising as equivalent information required by the laws of a non-member state.
