The Management Board of mBank S.A. announces that on 12 April 2018 the Supervisory Board of mBank S.A. appointed the following members of the Management Board of mBank S.A. for a joint term of five years:

Cezary Stypułkowski - President of the Management Board

Cezary Stypułkowski holds a PhD in law from the University of Warsaw. In the late 1980s he received a Fulbright scholarship and studied in Columbia Business School at the University of Columbia in New York.

For thirteen years he headed Bank Handlowy S.A. In 2003-2006 he acted as President of the Management Board of PZU Group. From 2006 to 2010 he was employed with J.P. Morgan in London, from 2007 as Managing Director of J.P. Morgan investment bank responsible for Central and Eastern Europe.

Cezary Stypułkowski was a member of the Deutsche Bank Board International Advisory Board, INSEAD International Advisory Board and the Geneva Association. Since 2012 he has been the co-chairman of the Emerging Markets Advisory Council of the Institute of International Finance in Washington.

On 1 October 2010 he was appointed President of the Management Board of mBank S.A.

Cezary Kocik - Vice-President of the Management Board, Head of Retail Banking

He graduated from the University of Łódź with a degree in Banking and Finance. In 2015 he completed the Advanced Management Program at Harvard Business School. In March 2018 he completed the Strategic Management in Banking course in INSEAD in France. Holder of a securities broker licence.

He has been working in the banking industry since the very beginning of his professional career. From 1994 to 1996 he worked as a securities broker in Dom Maklerski Banku PBG. In 1996 he joined PBG Bank’s Investment Banking Department as chief specialist. From 1997 to 2000 he successfully carried out a number of corporate loan restructuring processes in PBG Bank and then in its successor - Bank Pekao SA. In 2000-2004 he was director of Pekao SA’s branch in Łódź, the then fifth largest branch in the bank’s network.

He has been shaping mBank’s retail banking since 2004: first in the retail credit risk area, and then in the sales and business processes area. He was appointed Vice-President of the Management Board on 1 April 2012.

Lidia Jabłonowska-Luba – Vice-President of the Management Board, Chief Risk Officer

Lidia Jabłonowska-Luba graduated from the Mathematics Institute of the University of Gdańsk.

In 1994-2001 she was employed with Schroder Salomon Smith Barney Poland, advising a number of clients, financial institutions in particular, on M&A and public equity transactions. In 2002-2008 she worked for Citigroup in Poland. In 2008-2010 she was Vice-President of the Management Board of Kredyt Bank and Advisor to the CEO of Warta S.A. and TUnŻ Warta S.A. In 2010-2012 she worked in Brussels as Senior Executive Director of KBC Group and was responsible for managing all risk types in the group. Her major task was to implement a new approach to risk management in KBC Group. Additionally, Lidia Jabłonowska-Luba held the position of Deputy Chairperson of the Group Risk Management Committee and Member of the Group Risk and Capital Oversight Committee and ALCO in KBC Group.

Since 12 April 2013 she is Vice-President of the Management Board of mBank S.A., Chief Risk Officer.

Lidia Jabłonowska-Luba is a supervisory board member of two associations: Mariański Komitet Gospodarczy and Stowarzyszenie Wspierania Edukacji i Rodziny STERNIK.

Mrs Jabłonowska-Luba has no records in the Register of Insolvent Debtors maintained under the National Court Register Act.

Andreas Boeger – Vice-President of the Management Board, Chief Financial Officer

He studied in Frankfurt and San Diego, graduated from the Frankfurt School of Finance & Management and holds the CFA certificate.

Prior to his appointment to the Management Board of mBank S.A., Mr Boeger was Head of Corporate Finance within Commerzbank’s Group Development and Strategy. His duties included preparation of the strategic balance sheet and management of Commerzbank Group’s capital, as well as other tasks related to finance and regulatory activities.

Mr Andreas Boeger joined Commerzbank in 2013. He was previously the Managing Director of Global Capital Markets and Capital Solutions Europe & CEEMEA in Deutsche Bank in London (2007-2013). Before joining Deutsche Bank in Frankfurt in 2003, he headed the asset, liquidity and capital advisory division of HypoVereinsbank in Munich for which he worked since 1994.

Frank Bock - Vice-President of the Management Board, Head of Financial Markets

He graduated from the Technical University (Technische Universität) in Karlsruhe (Germany) as Diplom-Wirtschaftsingenieur, majoring in financial engineering and IT.

He worked for WestLB AG in Düsseldorf as Credit Treasury Head in Group Treasury and senior manager in the Risk Line.

From October 2008 he was Asset and Liability Management Director in Dresdner Bank AG in Frankfurt am Main responsible for banking book market risk management and liquidity portfolio management.

From early 2009 he was Managing Director for Treasury at Commerzbank AG. His duties included asset and liability management, market risk management and liquidity management in Commerzbank in Central and Eastern Europe.

He was appointed Vice-President of the Management Board of mBank S.A., Head of Financial Markets, on 1 May 2017.

Adam Pers - Vice-President of the Management Board, Head of Corporate and Investment Banking

Adam Pers graduated from the Faculty of Economics of the Academy of Economics in Poznań. In 2008 he completed an MBA programme at the Warsaw School of Economics (SGH). He gained expertise in the field of banking both at university and in three institutions operating on the Polish market. Adam Pers began his professional career as a trainee in Wielkopolski Bank Kredytowy S.A. In 2000-2011 he worked in Raiffeisen Bank Polska S.A. Group, where he performed a number of functions that allowed him to gain valuable experience both in front and back office. He joined mBank Group in 2012, first as Director of the Financial Markets Sales Department responsible for implementing a new unit structure and business model. He also introduced new rules of cooperation with the corporate banking and risk area. In November 2013 he was appointed Managing Director. His main responsibilities included supervision over sales of financial markets products to corporate clients and non-banking financial institutions and the development of product offer. In 2016 he took over Trading.

Krzysztof Dąbrowski – Vice-President of the Management Board, Head of Operations and Information Technology

Mr Dąbrowski graduated from the Warsaw University of Technology, Faculty of Electronics and Information Technology. In 2011 he completed the Executive MBA programme at the University of Warsaw and the University of Illinois. He obtained extensive knowledge regarding IT in several industries. In 1995-2003 he worked in the Internet and telecommunications industry for Polska Online and TDC Internet, where he was responsible for the development of hosting systems and services. In 2004-2011 he was the head of the Software Development Department in the Polish shared services centre of F. Hoffman-La Roche, which is among the largest pharmaceutical companies worldwide. In the following years, as CTO of Allegro Group, the Polish e-commerce leader, Mr Dąbrowski supervised one of the biggest agile transformations in the region. Since 2014 he has performed the functions of CIO/CTO and Managing Director in mBank.
