Contents: 

The Management Board of mBank S.A., with its registered office in Warsaw ("Bank"), announces that on 21 October 2020 it learned about the Operating Department of the Central Securities Depository of Poland (KDPW) Statement that 172 of ordinary bearer shares of the Bank with the nominal value of PLN 4 per share would be registered on 23 October 2020.

The aforementioned shares were issued based on resolution No. 38 of the Annual General Meeting of the Bank dated 9 May 2018 on the issue ofsubscription warrants, conditional share capital increase with divestment of the existing shareholders' pre-emptive right to subscription warrants and shares, change of the company's by-Laws and on applying for admission of shares to trading on the regulated market, and dematerialisation of shares. Underlying the registration of the said shares is Statement No. 1016/20 of KDPW dated 12 October 2020.

All the newly issue shares will be registered under the following code PLBRE0000012. Following the registration, the total number of the Bank'sshares registered with KDPW under code PLBRE0000012 will be 42,354,431.
