The Management Board of mBank S.A. ("Bank") informs that on November 25, 2021 the Bank was notified by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. about decreasing the share of Nationale-Nederlanden Otwarty Fundusz Emerytalny in the total number of votes at the General Meeting of the Bank below 5% resulting from the sale of the Banks’ shares at the WSE on November 23, 2021. According to the notification, after the settlement of the above-mentioned transactions, Nationale-Nederlanden Otwarty Fundusz Emerytalny held 2,105,216 shares of the Bank, representing 4.968% of the share capital and entitling to 2,105,216 votes (4.968% ) at the AGM. As a result of the same transactions, the funds managed by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. listed in the appendix to this report (including Nationale-Nederlanden Otwarty Fundusz Emerytalny), decreased their share in the total number of votes at the AGM of the Bank below 5%. After the settlement of the transactions, the funds managed by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. held 2,110,771 shares of the Bank, representing 4.981% of the share capital and entitling to 2,110,771 votes (4.981%) at the AGM.
