Current Report No. 136/2013 The Management Board of mBank S.A. ("|Bank"|) announces that the District Court for the capital city of Warsaw registered an increase in the share capital of the Bank. On 20 December 2013, the District Court for the capital city of Warsaw registered an increase up to PLN 168,696,052 in the share capital of the Bank. The said court registration reflects the amount of the Bank's share capital as at 27 November 2013 and was a consequence of registration by KDPW (Central Securities Depository of Poland) of 1,016 shares of the Bank on 27 November 2013. The aforementioned shares have been issued pursuant to Resolution No. 21 of the 21st Ordinary General Meeting of the Bank of 14 March 2008 on issuing bonds with the pre-emptive right to take up shares of mBank S.A., and on the conditional increase of the share capital through issue of shares with exclusion of the subscription right of the existing shareholders with a view to enable persons participating in the incentive programme to take up the shares of mBank S.A., and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares. Since 27 November 2013, i.e. the date of registration by the Central Securities Depository of Poland of 1,016 shares of the Bank issued as part of the aforesaid programme, the share capital of the Bank has amounted to PLN 168,696,052 and has been divided into 42,174,013 shares with a nominal value of PLN 4 per share, and the total number of votes at the annual general meeting of the Bank has been 42,174,013.
