The Management Board of mBank S.A. announces that Dom Maklerski mBanku S.A. ("|MDM"|), a subsidiary of mBank S.A., on 3 September 2015 sold 2,339 C series bonds with a pre-emptive right issued by mBank S.A. under the employee incentive programme for members of the Management Board of mBank S.A. implemented based on Resolution No. 20 and 21 of the Annual General Meeting of mBank S.A. of 14 March 2008 ("|Programme"|).

2,339 C series bonds with pre-emptive right issued by mBank S.A. under the Programme had been purchased by MDM due to allocation of the bonds to MDM as a trustee.

The aforementioned bonds were alienated by MDM to eligible persons in order to grant them the pre-emptive right to take up ordinary bearer shares of mBank S.A. which will be issued under the Programme.

The average sale price of a single bond is PLN 0.01.

At the same time, on 3 September 2015, mBank S.A. redeemed the aforementioned bonds from the eligible persons under the Programme in the total number of 2,339 bonds.

The basis for the buyout of these bonds from the eligible persons under the Programme were the provisions of Resolution No. 21 of mBank S.A. Annual General Meeting of 14 March 2008.

Under the Programme, the redemption occurred at the price of PLN 0.01 per bond and the bonds were purchased by mBank S.A. in order to redeem them.

On 3 September 2015, under the Programme, mBank S.A. redeemed all 2,339 bonds.
